Terms & Conditions
This Intern Participation Agreement (the “Agreement”) is entered into by and between Cross World Medics, a California non-profit corporation (“CWM”), and Purchaser, an Intern (“Intern”).
WHEREAS, the Intern is desirous to participate in the various internship programs offered by CWM and does so pursuant to the terms of this Agreement (“Internship”);
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties execute this in agreement of the terms and conditions stated herein:
Definitions
Intern - An "intern" is anyone who, without compensation or expectation of compensation beyond reimbursement, performs a task at the direction of and on behalf of CWM. An "intern" must be officially accepted and enrolled by CWM prior to performance of the task. Unless specifically stated, interns shall not be considered as "employees" of CWM.
The following TERMS AND CONDITIONS apply to all Cross World Medics Internships:
I. Personal health and safety considerations
I, the Intern, will obtain a policy of comprehensive medical, travel, and/or accident insurance for the period that I am participating in the Internship, which should have minimum Policy limits of $250,000. (the “Policy”). The Policy will provide coverage for injuries and illnesses I may sustain or experience in the Internship countries and those in which I will live or through which I will travel while on the Internship. I certify that the Policy will adequately cover me while outside my home country and includes coverage for emergency evacuation and repatriation. I also hereby release Cross World Medics (“CWM”), the university at which I am matriculated, the State of California, and their agents officers, directors, employees, heirs and assigns, successors in interest from all responsibility and liability for any injuries (including death), illness, claims, damages, charges, bills, or expenses I may incur while I am abroad whether incurred due to the negligence of CWM or not. I assume full responsibility and liability for any injuries (including death), illness, claims, damages, charges, bills, or other expenses I may incur while I am abroad whether incurred due to the negligence of CWM or not.
I am aware of all of my applicable personal medical needs and, at least 30 days prior to departure, I will report, in writing to CWM any physical or mental condition that may affect my participation in any CWM-organized program.
I have arranged, through insurance or otherwise, to pay for all of my medical expenses during my participation in this Internship. I agree to pay for any immunization services, agreed medical check ups and fulfill all conditions of the required countries in which I will be resident or through which I will travel as part of this internship.
I understand that any medical requirements and/or restrictions placed on my participation in my Internship (including disabled persons’ access to facilities or availability of special accommodations for visually-impaired or deaf persons) are determined by the laws of the countries in which the Internship is located and/or by the policies or procedures of the institution(s) through which I have arranged for my internship. I acknowledge that, with the exception of CWM-organized programs, CWM is not responsible for securing or supporting any additional accommodations necessary for my participation in the Internship I have chosen.
I understand that CWM provides basic meals on the internship, and that meals provided generally reflect the local cuisine. Some foods that are part of my regular diet at home may not be included, and any additional foods/products that I require will be my personal responsibility to purchase, not that of CWM. Vegetarians can be accommodated in CWM-provided meals, but Interns with more specific dietary requirements may need to supplement the included meals at their own expense. Interns with food allergies including but not limited to nut or dairy, must ensure that CWM is aware of the existence and severity of the allergy.
Interns may opt out of CMW-provided meals if they have made alternative plans, and in such instances no reimbursement for the foregone meal shall be issued by CWM. No reimbursements will be made for Interns who miss scheduled meals.
Interns must include dietary or religious restrictions on their Intern Information Sheet or notify CWM by email and confirm receipt of the same.
II. General travel advisory
I understand that CWM assumes no responsibility or liability for any losses that I may incur arising from: any delays; delayed or changed departure or arrival times; fare changes; dishonors of hotel, airline, or vehicle rental reservations, missed carrier connections; sickness, disease, or injuries (including death); losses or damages arising from weather; strikes; acts of God; circumstances beyond the control of CWM; force majeure; war; quarantine; civil unrest; public health risks; criminal activity; terrorism; accident; damage to property; bankruptcies of airlines or accommodations, restaurants, transportation, or other service or for any substitution of hotels or of common carriers beyond CWM’s control, with or without notice, or for any additional expense occasioned by liability for my hotel, transfers, meal costs, or other expenses.
My baggage and personal property are transported entirely at my risk, and CWM is not responsible for the loss of or damage to my baggage and/or personal property while in transit, in residence, or in storage for the duration of my chosen internship. I assume full responsibility and liability for any losses that I may incur arising from such events.
I assume full responsibility and liability for any losses that may incur arising from: any delays; delayed or changed departure or arrival times; fare changes; dishonors of hotel, airline or vehicle rental reservations; missed carrier connections; sickness, disease, or injuries (including death); losses or damages arising from weather; strikes; acts of nature; circumstances beyond the control of CWM; force majeure; war; quarantine; civil unrest; public health risks; criminal activity; terrorism; accident; damage to property; bankruptcies of airlines or accommodations, restaurants, transportation, or other service or for any substitution of hotels or of common carriers beyond CWM’s control, with or without notice, or for any additional expense occasioned by any of these events. If due to weather, flight schedules, or other uncontrollable factors, I am required to spend additional nights away from home of my intended destination, I assume full responsibility and liability for my hotel, transfers, meal costs, or other expenses.
I am aware and understand the risks and dangers of travel to, in, and around the Internship countries, including but not limited to the dangers of my own health and personal safety posed by the use of public transportation and by civil unrest, political instability, terrorist, crime, violence, and disease. I will examine and periodically review the US Consular information <http://www.state.gov/> and the Centers for Disease Control information <http://www.cdc.gov/travel/> website for information and updates regarding the risks of travel to these countries prior to my departure. By my participation in the Internship I assume, knowingly and voluntarily, each of these risks and all of the other risks that could arise out of or occur during my travel.
CWM reserves the right, in its sole discretion, to cancel any Internship it organizes or withdraw its support of my participation in the Internship or any aspects of it prior to departure or after departure, requiring that I return to my country of origin, if CWM determines or believes that I or any person is or will be in danger if I continue in the Internship or any aspect of it. In such an event, no reimbursement will be made on internship cost or other costs incurred. I may, at the sole discretion of CWM be placed in an alternative program location.
Any Intern who voluntarily leaves, or is removed from the CWM Internship before the scheduled completion of their full internship, will not be refunded by CWM for any portion of their internship costs, nor will they be permitted to re-join the Internship at any time, including during optional excursions and activities. CWM does not assume responsibility for any Intern once they have left the supervision of the CWM program staff. This policy includes any Intern being required to leave the CWM Internship as requested by CWM staff for breach of contract, violation of the Code of Conduct, or for medical or personal reasons.
III. Responsibility for behavior
I understand that each country has its own laws and standards of acceptable conduct, including dress, manners, morals, politics, drug and alcohol use, and behavior. I recognize that behavior that violates those laws or standards can harm the relationship between the host country and the United States; the reputation of CWM and the host community, program sponsors or co-sponsors; and my own health and safety.
I will become informed of, and abide by, all such laws and standards for each country to or through which I will travel during the Internship by reviewing the relevant travel guides and by consulting available US government resources at www.state.gov. I assume full responsibility and liability for any consequences or violations thereof. I also understand that CWM is not responsible for providing any assistance, legal or otherwise, in dealing with the laws or standards of foreign countries.
CWM reserves the right to decline to accept or retain me in any CWM-organized Internship at any time if my actions or general behavior impedes the operation of CWM or the rights or welfare of any person. I understand that I may be required to leave the Internship at the sole discretion of CWM’s employees, agents, or representatives, and I may be referred to the appropriate officials for disciplinary or other action. In such an event, no refund will be made for my internship costs.
At my own expense, I shall defend, indemnify and hold CWM harmless (including CWM’s directors, officers, employees, and agents) from and against any and all loss, liability, claims, suits, actions, proceedings, judgments, awards, damages and expenses (including attorney’s fees) that they, or any of them may incur or suffer by reason of my participation in CWM.
I understand that I need to abide by the rules of the housing provider or body corporate of any premises rented by CWM for the purposes of intern accommodation, and will be personally liable for any damages to premises or vehicles rented or owned by CWM.
I understand that, in order to provide a safe and healthy environment for all, Cross World Medics may review relevant public documents regarding criminal activity relating to myself, or any person who is in contact with children. CWM may conduct background checks, which may include, but is not limited to, any of the following background screening mechanisms: employment reference check, personal reference check, personal interview, confirmation of education, local criminal record check, state criminal record check, FBI criminal record check, state central child/dependent adult abuse registry check, state sex offender registry check, motor vehicle record check, professional disciplinary board background check, or, if I am not a U.S. resident or citizen, the relevant means of obtaining a background check or police certificate in my country of citizenship and/or residence.
Furthermore, I understand that if I am found to have any crimes against children, I will not be admitted or retained in an CWM internship. Other criminal records or additional information not specifically relating to children may be evaluated on a case-by-case basis, and Cross World Medics reserves the right to deny an intern position at any time, for any reason, should it be determined to be in the best interest of the child or other program participants.
IV. Clinic and Shadowing Precautions
I understand that as a Cross World Medics intern I am not authorized to perform any medical procedure and that my role is to observe my accompanying physician or healthcare professional in an inquiry based setting.
I understand that I am not allowed to handle any sharps (needles, blades, etc.) during my internship.
I will ensure to take all safety precautions when shadowing a physician that is dealing with any patient fluids (blood, amniotic fluid, etc.). Within this context it is mandatory that gloves and goggles (including interns wearing glasses) are worn.
I absolve myself of any and all legal action against Cross World Medics, it’s directors and officers, staff, and partner clinics and physicians under any and all conditions including but not limited to injury while participating in the clinical setting. This includes and is not limited to accidental needle injuries and acquisition of infectious disease.
If I were to obtain an injury or illness during my participation as a Cross World Medics intern I will not hold the organization or any of its affiliates liable for my treatment.
V. Logistics
For CWM-organized Internships, I understand that CWM reserves the right to change the Internship itinerary, at any time and for any reason, with or without notice, and neither CWM nor its co-organizers will be liable for any loss to me by reason of any cancellation or change. CWM may substitute hotels, accommodations, transportation, or housing at any time for any reason. Specific room and housing assignments are within the sole discretion of CWM and its co-organizers.
The itinerary is subject to modification and change by CMW. Every reasonable effort will be made to operate the Internship as planned; however, should unforeseen local or global events and conditions require our itinerary to be altered or cancelled, CWM reserves the right to do so for the safety and best interest of the group.
In the unlikely event of such a cancellation, no refund can be given by CWM.
I understand that accommodations and housing that are provided by CWM during Internships may have some inherent risks that are beyond the control of CWM including but not limited to acts of nature, accident, sickness, terrorism, crime, theft. CWM reserves the right to change or substitute housing at any time with or without notice. Neither CWM nor its co-organizers will be liable for any loss to me by my residing in the rooms or housing assignment in which I am placed.
I understand that transportation provided by CWM vehicles and other vehicles in the duration of the Internship is taken at my own risk; and CWM assumes no responsibility or liability for any damages or losses that may occur from vehicle related injury accidents including death. I will abide by the traffic and vehicle rules of the countries in which the Internship is located and the additional traffic and vehicle rules set by CWM.
Weekend off time and/or extra travel during the duration of the Internship as well as pre/post-program travel is not considered part of the CWM-organized Internship. “The Internship” is the period of time including and between the start date and the end date, and any date before the start date or after the end date is not considered part of the Internship. I understand that I am free to choose to participate in and I assume full responsibility for any activities that I may engage in during weekend off time; and/or extra travel accommodations, transportation, food, medical, injury (including death), and all other expenses incurred during weekend off time and/or extra travel pre/post program.
V. Media Rights
I grant permission to CWM, and its agents or employees, to videotape and/or photograph me and record me or my projects.
I authorize the use of my name, voice, photograph, likeness, performance and/or biography, voice and conversation including quotes, paraphrases, sounds, and any performance or participation in CWM events, by CWM and their officers, employees and agents. I authorize CWM to obtain and hold copyrights in such Internship and products, and to edit my performance and materials in its sole discretion.
I understand that CWM has no obligation to release the tape, video and/or photographs of my participation in the Internship, and that I will receive no monetary compensation for the rights granted herein. I also understand and agree that there will be no residual or any other type of payment, royalty or fee due in connection with such tapes, videos, podcasts, photographs and recordings.
I also authorize the use of my name or, if I choose, a fictitious name, in connection with these photographs/videos/recordings and acknowledge CWM’s right to copyright these materials, without compensation to me.
I agree that CWM shall be the exclusive owner of all copyright and other rights in and to such taping, videos, photography and recording and will be able to license others to use them, in any manner and in any and all media now known or hereafter discovered or developed along with any incidental uses in connection with the merchandising and promotion of CWM.
I further agree that Cross World Medics may license others to use the tapes, videos, photographs and recordings or any excerpts thereof, including my name, image, voice, likeness and any related or derivative versions of this content for any purpose.
I consent to and authorize the use, reproduction and publication by Cross World Medics (CWM) of all forms of media content as created by me during CWM-organized programs, such as photographs, videos, reports, student projects, artworks, and any and all media. I also understand and agree that there will be no residual or any other type of payment, royalty or fee due in connection with such media’s use. I expressly waive any and all rights I may have in connection with media created by me on CWM-organized programs.
I hereby agree to release, defend, and hold harmless Cross World Medics and its agents, officers, directors or employees, including any firm publishing and/or distributing the finished product in whole or in part, whether on paper or via electronic media, from and against any claims, damages or liability arising from or related to the use of said media, including but not limited to libel, false light, invasion of privacy, rights of publicity, any misuse, distortion, blurring, alteration, optical illusion or use in composite form, intentionally or otherwise, that may occur or be produced in taking, processing, reduction or production of the finished product, its publication or distribution.
I am 18 years of age or older and I am competent to contract in my own name
VI. Enrollment
Internship arrangements require CWM to make financial commitments on Interns’ behalf well in advance of the departure date. As such, the following policies apply in regards to enrollment fee payments:
i. In order to enroll (‘reserve a spot’) in a Cross World Medics internship upon acceptance, the Intern must pay an enrollment fee of 300 USD ($), payable by check or debit/credit card.
ii. The enrollment fee is due within 72 hours of acceptance notification, by the due date specified in the acceptance email.
iii. If an Intern would like an extension of their enrollment fee due date, they must inform CWM and submit their request for extension before the original due date in order to retain their position. The intern may be given an extension option and still retain their position. Should the intern fail to meet the conditions of the extension, their position will no longer be secured.
iv. The enrollment fee is non-refundable once paid, under all circumstances. The enrollment fee is included in the Program Fee.
v. The enrollment fee is non-transferable once paid, under all circumstances. In the event that the intern withdraws or defers their participation in the internship, the enrollment fee may not be transferred or allocated to another intern’s account.
VII. Program Fee Payment Policy
i. In order to participate in a CWM Internship, the Intern must complete the required program fee payment to Cross World Medics by the program fee deadline in order to retain their spot and participate in the internship, barring a situation in which there are specific circumstances outlined by a separate agreement between the Intern and CWM.
ii. Personal expenses associated with the internship are not included in the program fee and will not be provided by CWM, including, but not limited to - domestic/international flight costs, baggage costs, travel insurance, and any activities, trips, lodging, meals, or other expenses of a personal nature which are not part of the official internship itinerary.
iii. The program fee is non-refundable and non-transferable. Under no circumstances, in part or full, can the program fee be refunded or transferred to another intern.
A. Program Fee Due Date & Extension Policy
i. The Program Fee is due no later than 90 days after the intern’s date of enrollment, barring a situation in which there are specific circumstances outlined by a separate agreement between the Intern and CWM.
ii. Regardless of date of enrollment, the latest a program fee deadline can fall is 60 days before the start of the internship. Accordingly, if the intern’s date of enrollment is less than 90 days prior to this date, their program fee due date may be less than 90 days from their date of enrollment.
iii. Program fee due date extensions are available upon request, and upon review and approval from CWM.
iv. If an Intern would like an extension of their program fee due date, they must inform CWM and submit a request for program fee extension.
a.An extension will be granted solely at the discretion of CWM and requires the Intern’s program fee to be paid in full by a date agreed upon with CWM, and no less than 30 days prior to the internship start date.
v. If the Program Fee is not paid in full by the due date (either the original or the agreed-upon extended due date), the Intern will be withdrawn from that internship and their enrollment cancelled. The Intern will receive a program cancellation notice and any portion of the fees already paid will not be eligible for refund.
vi. Once cancelled, Intern’s enrollment in original program selection is not guaranteed even if they become reinstated.
vii. In the event that the Intern still participates, partially or completely, in the Internship for any reason without having completed the full program fee payment, they will still be responsible for payment of the program fee in full, even after the program end date.
B. Switch Fees
i. If an Intern chooses to switch internship date or location more than 90 days before the original internship’s start date, CWM will waive the Switch Fee, one time only.
ii. In the event of any additional switches, CWM will assess a US $100, non-refundable switch fee.
iii. If an Intern chooses to switch internship date or location less than 90 days before the original internship start date, a non-refundable US$100 Switch Fee will be assessed, even if this is the intern’s first switch.
iv. If the Intern switches internships, the program fee due date will remain the same, and no funds which have already been raised may be refunded or returned to the Intern at any time even in the event of a later program date.
v. The Switch Fee is non-refundable and non-transferrable, and is assessed at the time the switch is made, whether or not the Program Fee balance has been paid in its entirety.
vi. Internship switch requests may only be granted at the discretion of CWM, and are subject to availability in the desired internship date/location.
C. Cancellation Policy
i. If the Intern chooses for any reason to cancel their participation in the Internship, they must inform both CWM and their travel insurance provider of cancellation. Whether or not the reason for cancellation falls within the terms of the Intern’s insurance policy, or whether or not the Intern’s insurance claim is denied, is not the responsibility of CWM.
ii. Denial by Intern’s insurance provider and submission of the same to CWM is in no way a guarantee of a refund to be paid from CWM.
iii. If an Intern cancels his or her participation in the CWM internship the $300 USD enrollment fee will not be refunded under any circumstance.
iv. Payments towards an intern’s program fee are made directly to CWM, not to the intern personally, and therefore cannot be refunded to the Intern in the event that the Intern cancels their participation in the internship.
v. In the event that the Intern participates in the Internship but either arrives after the internship start date or departs before the internship end date, no refunds will be given for unused portions of the internship or because of an Intern’s failure or inability to participate in the CWM internship.
vi. The Intern is solely responsible for any airfare or other travel fees, charges, expenses or penalties, that might result from any cancellation of or change in the Intern’s program date.
viii. The Program Fee, or portions paid thereof, is not transferable to another CWM intern.
vii. It is very important that the Intern understands the cancellation policy, as it pertains to both the enrollment fee and the program fee. If it is not clear, the Intern should ask for clarification. CWM cannot make exceptions to this cancellation policy for any reason, including medical emergencies.
VIII. Payments & Refund Policy
i. If an Intern chooses to fundraise their program fee, all contributions from sponsors must be received by CWM no later than the program fee due date.
ii. If additional payments are received on the Intern’s behalf after the program fee due date, or after the completion of the program fee in full, the following terms apply:
No portion of funds is eligible for refund or transfer to another intern’s account.
Under no circumstance can CWM issue a ‘refund’ or ‘credit’ to an Intern personally for payments received by CWM on their behalf in excess of the program fee.
Refunded payments can only be refunded back to the payee themselves, by request of the payee.
iii. Should the Intern, either before or after the program fee due date, make payments exceeding the total amount of the Program Fee, CWM cannot, under any circumstances, ‘refund’ the excess amount to the Intern, or any other party.
iv. Accordingly, any payments received in excess of the amount of the internship program fee will be considered a general contribution to CWM. If the intern chooses to fundraise, it is important that they monitor their fundraising progress and communicate with their donors to ensure that they complete, but do not exceed the program fee.
v. All payments made towards the Intern’s program fee via the CWM website go directly to Cross World Medics and are allocated towards the Intern’s program fee. No portion or amount thereof can be re-issued to the Intern personally for personal expenses such as travel, excursions, etc.
vi. If an Intern is using a third-party fundraising site (e.g. GoFundMe), it is their responsibility to review the Terms & Conditions of the third party fundraising site to ensure that their Program Fee is paid in full by the due date.
vii. CWM is not able to involve itself in any disputes or refunds made through third-party fundraising sites to the intern personally. CWM accepts no responsibility for donations made to the Intern personally through third-party fundraising sites.
IX. Logistics Forms
All required Logistics Forms and Documents must be received in full by CWM no later than the due date specified. CWM cannot accept any intern on an internship without full completion of all Forms and Documents by said date.
CWM reserves the right to cancel the Intern’s enrollment without refund if fully completed Logistics Forms and Documents are not received by the due date.
X. Declaration
I hereby acknowledge that I have read, understand, and will abide by each of the terms and conditions of this agreement. I further state that I am of legal age to accept these responsibilities.
It is my express intent that this agreement shall bind the members of my family, if I am alive, and my heirs, assigns and personal representative, if I am deceased, and shall be deemed as a Release, Waiver, Discharge and Covenant Not to Sue Cross World Medics (CWM).
Choice of Law. The validity, construction and performance of this Agreement shall be governed by, construed and enforced in accordance with the laws of the State of California, applicable to agreements made and to be fully performed therein, without regard to the principles of conflict of laws thereof. The Parties hereby acknowledge, agree, consent and submit to the personal and subject matter jurisdiction of California as the proper venue for any litigation that may arise out of this Agreement subject to Clause 4 below “Mediation and Arbitration”.
Mediation and Arbitration. If a dispute arises from or relates to this contract or the breach thereof, and if the dispute cannot be settled through direct discussions, prior to commencing any litigation, the parties agree to endeavor first to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration. The parties further agree that any unresolved controversy or claim arising out of or relating to this contract, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Claims shall be heard by a single neutral arbitrator and shall have at least 5 years experience in dispute resolution for non-profit organizations. The place of arbitration shall be Los Angeles, California, USA. The arbitration shall be governed by the laws of the State of California and the decision shall be binding on all parties. The arbitrators will have no authority to award punitive or other damages not measured by the prevailing party's actual damages, except as may be required by statute. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties. The parties agree that failure or refusal of a party to pay its required share of the deposits for arbitrator compensation or administrative charges shall constitute a waiver by that party to present evidence or cross-examine witness. In such event, the other party shall be required to present evidence and legal argument as the arbitrator(s) may require for the making of an award. Such waiver shall not allow for a default judgment against the non-paying party in the absence of evidence presented as provided for above.
Entire Agreement. This Agreement constitutes the entire understanding between the Parties as to the subject matter hereof and may not be modified, amended or terminated except by written agreement signed by the Parties. This Agreement supersedes all prior representations, warranties and agreements, if any, between the Parties.
Headings The headings used herein are for convenience of reference only and do not define or limit the scope of the provisions of this Agreement.
Severability In the event that any term or provision contained in this Agreement is held to be invalid, unenforceable, void or illegal, in whole or in part, by any court of competent jurisdiction, (a) the same shall be deemed severable from the remainder of this Agreement and shall in no way affect, impair or invalidate any other term or provision contained herein, and (b) the invalid or unenforceable term or provision shall be replaced by a term or provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term or provision. If such term or provision shall be deemed invalid due to its scope or breadth, such term or provision shall be deemed valid to the extent of the scope or breadth permitted by law.
Interpretation In any event of claimed conflict, omission or ambiguity in this Agreement, no presumption or burden of proof or persuasion shall be implied by virtue of the fact that this Agreement was prepared by or at the request of a particular party to this Agreement. This Agreement shall be interpreted equally as to all parties and not against the party that drafted it. Further, as used in this Agreement, the masculine, feminine or neuter gender, the singular or plural pronoun, and the conjunctive or disjunctive connector shall each be deemed to include the other whenever the context reasonably indicates.
Voluntary Acceptance. This Agreement has been carefully read by the Parties, and the Parties acknowledge that they know and fully understand its contents. The Parties acknowledge that they have had the opportunity to consult with legal counsel of their own choosing about their rights regarding the form and content of this Agreement.
Counterparts and Electronic Signature. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same Agreement. The counterparts of this Agreement and all Ancillary Documents may be executed and delivered by facsimile or other electronic signature by any of the parties to any other party and the receiving party may rely on the receipt of such document so executed and delivered by facsimile or other electronic means as if the original had been received
Electronic Signature Agreement
By typing your name into the ‘signature’ box at checkout, or initials into the ‘initials’ box, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By typing your name into the ‘signature’ box, or initials into the ‘initials’ box, you consent to be legally bound by this Agreement's terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, or in accessing or making any transaction regarding any agreement, acknowledgement, consent terms, disclosures or conditions constitutes your signature (hereafter referred to as "E-Signature"), acceptance and agreement as if actually signed by you in writing. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and Cross World Medics. You also represent that you are authorized to enter into this Agreement and that you will be bound by the terms of this Agreement.
WHEREFORE, the Parties to this Agreement have executed the same evidencing their approval and acceptance of the terms and conditions contained herein as of the Effective Date of this Agreement.
